Amended Returns
If your business conducted qualifying R&D in prior tax years but did not claim the credit, you may be able to claim it now by filing amended returns.
The lookback period
Under IRC Section 6511(a), taxpayers can file amended returns to claim a refund or credit within the statute of limitations period: 3 years from the date the original return was filed (or the due date, whichever is later).
How it works
- Identify qualifying years — determine which prior tax years included qualifying research activities and expenses
- Gather records — collect payroll data, project documentation, contractor invoices, and supply records for each year
- Calculate the credit — compute QREs and the credit for each year under both the Regular and ASC methods
- File Form 1040-X, 1120-X, or amended 1120-S/1065 — attach a completed Form 6765 for each amended year

Important considerations
Each year stands alone
The credit calculation for each tax year uses that year's QREs and (for the ASC method) the average of the three preceding years' QREs. Claiming prior years may affect the base amount for subsequent years.
Payroll tax offset limitation
The qualified small business payroll tax election under IRC Section 41(h) must be made on an originally filed return. It cannot be made for the first time on an amended return. If you missed the election on your original filing, you cannot retroactively elect the payroll tax offset for that year.
Documentation requirements
Amended return claims face heightened scrutiny. The IRS is more likely to examine R&D credit claims on amended returns, particularly for first-time claimants. Strong contemporaneous documentation is especially important. See Documentation Requirements.
Interaction with Section 174
If you previously deducted R&D expenses under Section 174 and are now claiming them as the basis for a Section 41 credit, there may be adjustments required. The reduced credit election under IRC Section 280C(c) may apply.
